OFFICIAL CONTEST RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN THIS CONTEST. THIS CONTEST IS INTENDED FOR PLAY IN THE CONTIGUOUS STATES OF THE UNITED STATES (EXCLUDING RHODE ISLAND) AND THE DISTRICT OF COLUMBIA.

SPONSOR: The contest is offered, operated and administered by TECHNICOPIA LLC, a Delaware limited liability company, P.O. Box 89, Carmel Valley, California 93926 (the “Sponsor”).

ELIGIBILITY: This contest is open only to legal residents of the forty-eight (48) contiguous states of the United States (excluding Rhode Island) and the District of Columbia (the “Contest Area”) (and specifically excludes residents of Hawaii, Alaska, Puerto Rico and any and all other territories), who are eighteen (18) years of age or older as of the start of the Contest Period (as defined below). Proof of age and residency may be required. All participants must use their own valid email address. Directors, officers and employees of Sponsor, its affiliates, advertising and promotional agencies, hosting sites and any other entity involved with this contest, as well as the respective members of their households and family members (parents, siblings, children, spouses) are not eligible to win. Void outside the Contest Area, where prohibited by law and where restricted in a manner not satisfied by the publication of these rules.

CONTEST PERIOD: The contest period commences at 9:00:00 a.m. Pacific Time on July 7, 2009, and ends at 11:59:59 p.m. Pacific Time on July 21, 2009 (said period of time being hereinafter referred to as the “Contest Period”).

HOW TO PARTICIPATE: During the Contest Period, follow the steps set forth below:

(1) Access the official contest website directly at http://www.gwabbit.com/share_promo.php (the “Contest Website”), or by clicking on the official gwabbit icon on any sponsoring website, or by following the link to the official Contest Website set forth in a referring email. Follow the prompts and instructions set forth on the Contest Website to register, which will require your first name, last name, valid email address and confirmation of age (collectively, the “Registration Information”). Submit the completed Registration Information by clicking “Submit” when prompted on the Contest Website. All Registration Information must be received during the Contest Period. Participants may register only once and once an email address has been registered by a participant, that email address cannot be used by any other person. Sponsor reserves the right to disqualify any person or email address that submits multiple entries. Sponsor also reserves the right to disqualify any person with an invalid email address, does not meet the minimum required age, or other minimum eligibility requirements. Registration Information submitted by robotic, automatic or programmed software or by third parties shall be void.

(2) If participant has not already downloaded and install on a trial basis the gwabbit software onto your computer, they must do so by following the instructions set forth at http://www.gwabbit.com/download.php. Note: participant must have the most current version of gwabbit for Outlook (version 40) in order for your friends referred through the “Tell a Friend” product feature to be counted.

(3) Refer third parties that meet the eligibility criteria set forth herein (each a “Referral” and collectively, “Referrals”) to the Contest Website and have each Referral during the Contest Period (a) list you and your email address as the “Referring Party” as part of the Registration Information, which must be completed in accordance with the terms and conditions set forth herein, and (b) download and install on a trial basis the gwabbit software onto the Referral’s computer as set forth herein.

DETERMINATION OF WINNERS: Eligible participants that properly submit the Registration Information, download and install on a trial basis the gwabbit software and are the “Referring Party” for ten (10) or more eligible Referrals who properly submit the Registration Information and download and install on a trial basis the gwabbit software, all during the Contest Period (participants that comply with the foregoing being hereinafter referred to as “Winning Participants”), shall receive one (1) gwabbit coffee mug with a retail value of approximately $3.00 (each a “Winning Prize” and collectively, “Winning Prizes”). The five (5) Winning Participants that are the listed as the “Referring Party” for the most eligible Referrals who properly submit the Registration Information and download and install on a trial basis the gwabbit software during the Contest Period shall receive one (1) customized Flip HD camcorder with a retail value of approximately $230.00 (each a “Grand Prize” and collectively, “Grand Prizes”). (The Winning Prizes and Grand Prizes are each a “Prize” and are collectively referred to herein as the “Prizes”.)

LIMITATIONS ON PRIZES: No substitution or transfer of the Prizes shall be permitted, except by Sponsor, who may substitute Prizes of equal or greater value. Any and all taxes, duties and/or fees are the sole responsibility of the participant. All expenses not specified herein, including, but not limited to local, state and/or federal taxes, duties and/or fees on the Prizes, are the sole responsibility of the participant. The total estimated retail value of all of the Prizes is $1,500.00.

NOTIFICATION AND COLLECTION OF PRIZES: The winners will be notified by email on or about the day that is thirty (30) days following the end of the Contest Period and all Prizes will be sent within forty-five (45) days following the end of the Contest Period to the address set forth in the Registration Information for the applicable winner. Each winner is subject to verification and must meet all of the eligibility requirements set forth herein. In the event that a potential winner does not comply with the terms set forth herein, that person may be disqualified. All winners must sign and return any and all Prize acceptance forms, releases, waivers and declarations of eligibility within five (5) days after notification as a potential winner. As a condition precedent to receiving any Prize(s), each winner consents to the use of his or her name, address and likeness for purposes of advertising and trade and to the use and disclosure of personal information by Sponsor or to any third party for consumer research, marketing and/or this contest.

DISCLAIMERS: The Prizes are provided on a “as is” “where is” basis and Sponsor does not make any, and hereby disclaims any and all, representations or warranties of any kind regarding the Prizes, including without limitation, any representations or warranties concerning the fitness for a particular purpose or potential results. All participants, on behalf of themselves, their executors, heirs and assigns, by submitting the Registration Information and/or by acceptance of a Prize, hereby agree to release, indemnify and defend (with counsel acceptable to Sponsor) Sponsor and all officers, employees, agents, affiliates, counsel and partners of Sponsor, from any and all liability, claims and/or actions of any kind whatsoever which may be sustained in connection with the receipt, use or misuse of any Prize or any actions undertaken using any Prize, or while preparing for, participating in, or any activity in connection with this contest. Sponsor assumes no responsibility for computer system, hardware, software, or program malfunctions or other errors, failures, delayed computer transmissions or faulty network connections, whether human or technical in nature and each participant releases Sponsor from any and all liability, claims and/or actions due to Sponsor’s website and/or the downloading of any of software in connection with this contest. Sponsor is not responsible for late, incorrect, incomplete, stolen or damaged Prizes. If, in Sponsor’s opinion, there is any suspected or actual evidence of tampering with any portion of this contest, or if technical difficulties compromise any portion of this contest or the integrity of the promotion, Sponsor reserves the right to suspend, modify or terminate this contest. All of Sponsor’s decisions are final.

COVENANT TO COMPLY WITH RULES: By participating in the contest, each participant agrees to abide by these official rules, with Sponsor’s end user license agreement and any and all other applicable rules, regulations and policies of Sponsor.

MISCELLANEOUS: No purchase necessary. Odds of winning the Grand Prizes depends on the number of participants. This contest is governed by the laws of the State of California for the resolution of all claims and disputes. Any and all actions and proceedings related to this contest shall be brought in the County of Los Angeles, State of California. If any provision of these rules shall be invalid or unenforceable, the remainder of these rules shall not be affected thereby.
